01 Definitions & General Information

• "Products" refers to electrical goods, lighting solutions, fixtures, and related accessories offered by the Company.
• "Services" refers to the retail, wholesale, B2B supply, and related assistance provided by the Company.
• The Company operates strictly as a multi-brand retailer, wholesaler, and B2B supplier. We do not manufacture any of the Products sold.

02 User Eligibility & Account Responsibilities

• You represent and warrant that you are at least eighteen (18) years of age and possess the legal authority to enter into binding transactions under the Indian Contract Act, 1872.
• You agree to provide accurate, current, and complete information for billing, delivery, and GST invoicing purposes.
• You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

03 Product Availability, Pricing & Accuracy

• All Products are subject to stock availability. Prices are subject to change without prior notice.
• Applicable taxes (including GST) and delivery charges will be clearly communicated prior to order confirmation.
• Product specifications, colors, and packaging may vary subject to manufacturer updates. We are not liable for such manufacturer variations.
• We reserve the right to correct typographical errors, pricing inaccuracies, or listing errors and may cancel any order affected by such errors prior to dispatch.

04 Orders, Dispatch & Fulfilment

• All orders are subject to acceptance and product availability. We reserve the right to decline or cancel any order at our sole discretion.
• Bulk and project-specific orders may require a formal quotation and distinct commercial terms.
• Delivery timelines are estimates. We shall not be liable for delays caused by third-party logistics or force majeure events.

05 Warranty, Installation & Professional Disclaimer

• Manufacturer Warranty Only: Products are covered exclusively by the respective manufacturer’s warranty policies. Warranty coverage and duration vary by brand and product. We act only as a supplier.
• No Installation Liability: We do not provide professional electrical consulting, wiring, or installation services. Any installation or use of the product must be done by a qualified, licensed electrician.
• Risk of Loss: The risk of loss, damage, or fire due to improper installation, short circuits, or misuse of the product passes entirely to the Customer once the product is delivered.
• The Company will provide reasonable assistance in facilitating warranty claims with the respective manufacturer, but we do not guarantee the outcome of such claims.
• Nothing in these Terms restricts the statutory consumer rights guaranteed under the Consumer Protection Act, 2019.

06 Returns, Replacements & Cancellations

• Returns and replacements are assessed in accordance with our Return and Refund Policy and prevailing consumer protection laws.
• Any incorrect, damaged, or defective Products must be reported to us within 48 hours of delivery, accompanied by valid purchase details and photographic evidence.
• Specially procured, customized, or bulk-order Products may not be eligible for return unless they are inherently defective upon delivery.
• Approved refunds will be processed via the original payment method within 7-14 business days.

07 GST Invoicing & B2B Transactions

• We issue GST-compliant invoices in strict accordance with prevailing tax regulations.
• Business customers must provide accurate GST registration details at the time of placing the order. Requests for GST invoices post-delivery may be subject to timelines dictated by applicable tax laws.
• Input Tax Credit (ITC) eligibility is governed by applicable GST provisions and the nature of the transaction.

08 Intellectual Property & Website Use

• All website content, including text, graphics, logos, and proprietary materials, are protected under applicable intellectual property laws.
• Unauthorized reproduction, distribution, or commercial use of our content is strictly prohibited.
• Third-party trademarks remain the property of their respective owners and are used for reference purposes only.
• You agree not to disrupt, hack, or attempt to gain unauthorized access to our website or databases.

09 Indemnification

You agree to indemnify, defend, and hold harmless City Lighting And Electricals, its directors, employees, and affiliates from any claim, demand, suit, legal proceeding, damage, or expense (including reasonable attorney’s fees) arising out of:

• Your breach of these Terms and Conditions.
• Your violation of any applicable law or third-party rights.
• The misuse, improper installation, or unauthorized resale of the Products purchased from us.

10 Limitation of Liability

• To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, property damage, or business interruption.
• Liability Cap: In no event shall the total aggregate liability of the Company, arising out of or relating to the purchase and use of any Product, exceed the actual amount paid by the Customer for that specific Product.
• The Customer acknowledges that electrical products carry inherent risks if mishandled, and the Company is not liable for damages arising from customer or third-party negligence during installation or use.
• Nothing in these Terms excludes liability that cannot be legally excluded under the laws of the Republic of India.

11 Force Majeure

The Company shall not be held liable for any delay or failure in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, strikes, labor disputes, governmental actions, pandemics, internet failures, disruptions in the supply chain, or civil disturbances.

12 Dispute Resolution & Arbitration

• Amicable Resolution: Any dispute, claim, or controversy arising out of these Terms shall first be addressed amicably through direct written communication between the parties for a period of thirty (30) days.
• Arbitration: If the dispute remains unresolved, it shall be referred to and finally resolved by a sole arbitrator appointed mutually by both parties under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Srinagar, Jammu & Kashmir, India.
• Subject to the above, the Parties submit to the exclusive jurisdiction of the competent courts in Srinagar, Jammu & Kashmir, solely for the purpose of enforcing the arbitral award or seeking interim relief.

13 Severability & Modifications to Terms

• If any provision of these Terms is found to be invalid or unenforceable by a court of law, the remaining provisions shall remain in full force and effect.
• We reserve the right to update, modify, or amend these Terms at any time. The updated Terms will be effective immediately upon posting on our website. Continued use of the website constitutes acceptance of the revised Terms.
